Terms of Service

PLEASE READ THESE TERMS CAREFULLY. They contain a binding arbitration clause and class-action waiver in Section 19 that affect your legal rights. By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms.

1. Agreement and Parties

These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and GuitarMap, LLC, a Delaware limited liability company ("GuitarMap," "Company," "we," "us," or "our"), governing your access to and use of the GuitarMap website, web application, and all related services (collectively, the "Service").

By creating an account, clicking "Sign Up," or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

• "Content" means any audio files, video files, URLs, tab data, annotations, comments, or other materials you upload to, submit to, or generate within the Service.
• "Credits" means pre-purchased transcription minutes purchased as one-time packs through the Service.
• "Plan Minutes" means monthly transcription minutes allocated to your active subscription tier.
• "Transcription" means the AI-generated guitar tablature output produced by processing your Content through the Service.
• "Subscription" means a recurring paid plan (Plus, Pro, or Studio) that grants access to Service features and monthly Plan Minutes.
• "Shed Content" means curated practice materials, lessons, and reference transcriptions provided by GuitarMap within the Service.
• "URL Submission" means any third-party URL (including but not limited to YouTube URLs) submitted to the Service for transcription processing.

3. Eligibility and Age Requirements

You must be at least 13 years of age to use the Service. If you are between 13 and 17 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service. If you are a parent or guardian and believe your child under 13 has created an account, contact us immediately at privacy@guitarmap.ai and we will delete the account and any associated data.

You represent that you are not (a) located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (b) listed on any U.S. Government list of prohibited or restricted parties.

4. Account Registration and Security

• You must provide accurate, current, and complete information when creating your account and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials. Do not share your password or allow others to access your account.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at privacy@guitarmap.ai if you become aware of any unauthorized use of your account.
• We reserve the right to reclaim or require you to change usernames or display names that impersonate third parties, are offensive, or otherwise violate these Terms.
• One account per person. You may not create multiple accounts to circumvent usage limits, trial grants, credit grants, or other account restrictions. We may use technical measures to detect and prevent such circumvention. Violations may result in immediate termination of all associated accounts, forfeiture of all Credits and Transcriptions, and permanent ban from the Service.

5. Description of the Service

GuitarMap is an AI-powered guitar transcription and practice platform. The Service allows you to:

• Upload audio files and video files for AI-assisted guitar transcription. YouTube link support is coming soon.
• Receive automatically generated guitar tablature ("tabs") with technique annotations
• Play back transcriptions on an interactive, animated fretboard synchronized to audio or video
• Edit, annotate, and export transcriptions as tab, PDF, or MIDI files
• Separate full-band recordings into individual instrument stems for isolated playback and transcription purposes
• Access the Shed, a curated library of practice content (availability is tier-dependent)

The Service operates on a combined Subscription and Credit model in which billable minutes are debited at the time of upload submission based on the duration of the Content you submit for processing.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, for any reason including maintenance, updates, or business decisions. We will use commercially reasonable efforts to provide advance notice of material changes. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

6. User Content and License Grants

6.1 Your Ownership

You retain all ownership rights in the Content you upload to the Service. We do not claim ownership of your original audio or video files. Your Transcriptions — the tab data generated from your Content — are also yours.

6.2 License to Operate the Service

By uploading Content, you grant GuitarMap a limited, worldwide, non-exclusive, royalty-free license to store, process, transmit, reproduce, display, and create derivative works (including stem separations and Transcriptions) from your Content solely as necessary to provide the Service to you. This license terminates when you delete your Content or close your account, subject to reasonable backup and legal retention periods described in our Privacy Policy.

6.3 AI Model Training (Opt-Out)

To improve the accuracy of our transcription models, GuitarMap may use anonymized, de-identified transcription data (tab output and associated audio features — not your original audio or video files) to train, evaluate, and improve our AI models. We will not use personally identifiable information for model training.

You may opt outof this use at any time by toggling the "Model data opt-out" setting in your account settings. Opting out will exclude your data from future training runs; previously processed anonymized data may already be incorporated into existing model weights and cannot be individually removed.

6.4 Feedback

If you submit feedback, suggestions, feature requests, or bug reports to us, you grant GuitarMap a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose, including incorporating it into the Service, without any obligation or attribution to you.

7. YouTube and Third-Party URL Processing

7.1 URL Processing Feature

The Service includes a feature that allows you to submit URLs from YouTube and other third-party platforms for transcription processing. THIS FEATURE IS PROVIDED SOLELY FOR PROCESSING CONTENT YOU HAVE THE LEGAL RIGHT TO USE.

GuitarMap does NOT:

• Host, distribute, redistribute, or make available any content from YouTube or other third-party platforms
• Operate a YouTube-to-MP3 or audio download service for unauthorized redistribution
• Store content from third-party URLs beyond the period required for processing and synchronized playback of your Transcription
• Verify the copyright status or ownership of content submitted via URL
• Endorse, facilitate, or encourage the unauthorized downloading or distribution of copyrighted content
• Maintain any data-sharing relationship with YouTube, Google, or any other third-party platform

7.2 Your Representations for URL-Submitted Content

BY SUBMITTING ANY URL TO THE SERVICE, YOU REPRESENT AND WARRANT THAT:

(a) You have rights. You are the copyright owner of the content at that URL, OR you have obtained explicit permission from the copyright owner to download, process, and create a Transcription from that content, OR your intended use qualifies as fair use, public domain use, or use under a Creative Commons or similar open license that permits derivative works.

(b) Authorized purpose. You are using the URL processing feature for a lawful purpose, including but not limited to:

• Transcribing your own content that you have uploaded to YouTube or another platform
• Transcribing content for which you hold a valid license
• Transcribing content with explicit permission from the rights holder
• Personal practice, study, educational, or research purposes that qualify as fair use under applicable law (you assume all legal risk of this determination)
• Transcribing content that is in the public domain or under a permissive open license

(c) No commercial piracy. You are NOT using this feature to download music or audio you do not own for unauthorized redistribution, to create unauthorized copies of copyrighted recordings, to circumvent any digital rights management or copy protection beyond what is necessary for your personal lawful use, or to violate any third-party platform's Terms of Service.

(d) Platform compliance. You acknowledge that YouTube and other third-party platforms have their own Terms of Service that may restrict downloading or processing of content. You are solely responsible for compliance with those terms.

7.3 Per-Submission Certification

EACH TIME YOU SUBMIT A URL FOR PROCESSING, YOU CERTIFY THAT:

• You have read and understand Section 7 of these Terms in its entirety
• You have the legal right to process the content at that URL for the purpose you intend
• Your use does not infringe any copyright, violate any anti-circumvention law, or breach any third-party platform's Terms of Service
• You accept full legal responsibility for any claims arising from the processing of that content
• You understand that false certification may constitute fraud and could expose you to significant legal liability

This certification is made under penalty of perjury under the laws of the United States. GuitarMap maintains logs of URL submissions and user certifications, which may be provided to rights holders, law enforcement, or third parties pursuant to valid legal process.

7.4 Technical Processing Only

When you submit a URL, the Service acts purely as a technical audio processor at your direction. GuitarMap does NOT:

• Make editorial decisions about what content to process
• Select, curate, recommend, or feature content from third-party platforms
• Make processed content available to any user other than you
• Maintain a public library, catalog, or archive of content from third-party URLs

GuitarMap is a neutral technical service provider that processes audio at the user's direction. All responsibility for the legality of content submitted via URL rests entirely with the user.

7.5 Anti-Circumvention Acknowledgment (DMCA §1201)

YOU ACKNOWLEDGE AND AGREE THAT:

(a) Technological protection measures. YouTube and other platforms may employ technological protection measures ("TPMs") to control access to or copying of content. These may include encryption, access controls, digital rights management, or other technical measures.

(b) Anti-circumvention laws. The Digital Millennium Copyright Act (17 U.S.C. § 1201) and similar international laws prohibit circumventing TPMs, regardless of whether copyright infringement occurs. Violations can result in statutory damages of $200 to $2,500 per act of circumvention, plus criminal penalties in egregious cases.

(c) Your sole responsibility. You are solely responsible for determining whether your intended use of the URL processing feature constitutes circumvention of any TPM under applicable law. GuitarMap makes no representations about whether the Service or your use of it constitutes circumvention.

(d) No legal advice. GuitarMap does not provide legal advice regarding anti-circumvention laws. Consult a qualified attorney if you have questions about whether your intended use may violate DMCA §1201 or similar laws.

7.6 Practical Limits of Our Review

GuitarMap has no practical ability to determine whether content submitted via URL is owned by the submitting user, licensed to the submitting user, in the public domain, subject to fair use, or otherwise authorized for processing. We process URLs submitted by users in good-faith reliance on users' representations, warranties, and certifications. All URLs appear identical to our systems regardless of the underlying rights status.

7.7 Statutory Damages Risk

YOU ACKNOWLEDGE THAT COPYRIGHT INFRINGEMENT CAN RESULT IN SUBSTANTIAL STATUTORY DAMAGES, INCLUDING:

• Up to $30,000 per work infringed for non-willful infringement under 17 U.S.C. § 504(c)
• Up to $150,000 per work infringed for willful infringement
• Criminal penalties for willful infringement for commercial advantage

If you process copyrighted Content without authorization, you may be personally liable for these damages. We strongly encourage you to consult with an attorney before processing any content you do not own.

7.8 Right to Modify or Disable URL Feature

We reserve the absolute right to modify, suspend, or permanently disable the URL processing feature at any time, for any reason, without notice, including in response to changes in applicable law, legal threats or demands, changes in third-party platform terms or technical access, or business decisions at our sole discretion. You have no right to continued access to the URL processing feature, and we shall have no liability for any modification, suspension, or discontinuation.

8. Copyright Concerns

GuitarMap respects the intellectual property rights of others and expects users to do the same. If you believe content available on or through the Service infringes your copyright, please contact us at privacy@guitarmap.ai with the following information:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material on the Service you believe is infringing, with enough detail for us to locate it
• Your contact information (name, email, and where applicable mailing address)
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement that the information in your notification is accurate and that you are authorized to act on behalf of the copyright owner

We will review reports promptly and take action we determine to be appropriate. Nothing in this Section creates any binding obligation beyond reviewing your report and acting in good faith. We do not claim to operate as a service provider under 17 U.S.C. § 512 and do not maintain a registered DMCA agent.

Repeat infringer policy. We may terminate the accounts of users who repeatedly process content they do not have the right to process. Repeat infringer accounts may be terminated without notice and without refund of any prepaid fees or unused Credits.

9. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload malicious code, viruses, or files designed to harm the Service or other users
• Attempt to gain unauthorized access to any part of the Service, our systems, or other users' accounts
• Scrape, crawl, or programmatically harvest data from the Service without our express written consent
• Reverse engineer, decompile, or disassemble any portion of the Service
• Circumvent, disable, or interfere with security features, rate limits, usage caps, or access controls
• Create multiple accounts to exploit trial periods, credit grants, or other promotional offers
• Resell, sublicense, or redistribute access to the Service without our prior written permission
• Use the Service in a way that could damage, overburden, or impair its infrastructure
• Impersonate any person or entity, or falsely state your affiliation with any person or entity
• Upload or transmit Content that is obscene, defamatory, harassing, threatening, or otherwise objectionable
• Process content via URL submission that you do not own or have permission to use
• Redistribute, sell, or commercially exploit Transcriptions derived from Content you are not legally entitled to process
• Use the Service to circumvent any third-party platform's copy protection or Terms of Service

We reserve the right to investigate violations and take appropriate action, including content removal, account suspension, termination, or referral to law enforcement.

10. Subscriptions and Billing

10.1 Subscription Tiers

GuitarMap offers a free tier and paid subscription plans (Plus, Pro, and Studio), each with different monthly Plan Minute allocations, per-solo duration caps, and feature sets as described on our pricing page. Features and limits are subject to change with notice as described in Section 18.

10.2 Trial Period

New accounts receive a 5-day free trial that includes a grant of transcription Credits. No credit card is required to start a trial. At the end of the trial period, unused trial Credits expire and you revert to the free tier unless you have subscribed to a paid plan. We reserve the right to modify or discontinue trial offers at any time, and to deny trial eligibility to accounts we reasonably suspect of attempting to circumvent the one-trial-per-user limit.

10.3 Recurring Billing

Paid subscriptions are billed monthly in advance through our payment processor. By subscribing, you authorize GuitarMap to charge your payment method on a recurring basis at the then-current subscription price. You must maintain a valid payment method on file. Failed payments may result in suspension or downgrade of your account.

10.4 Credits

Credits are one-time purchases of transcription minutes. Credits do not expire and carry over between billing periods. Credits are consumed only after your monthly Plan Minutes are exhausted. Credits are non-transferable and may not be sold, gifted, or otherwise transferred to other users or accounts.

10.5 Price Changes

We may change subscription prices at any time. We will give you at least 30 days' advance notice of any price increase via email to your registered address. Continued use of the Service after the price change becomes effective constitutes your agreement to pay the new price.

10.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, after which you retain access through the last paid day. Plan Minutes reset monthly and do not roll over; unused Plan Minutes are forfeited upon cancellation or plan downgrade.

10.7 Refunds

Subscription fees are generally non-refundable. We evaluate refund requests on a case-by-case basis for circumstances such as significant service outages, billing errors, or technical failures attributable to us. Purchased Credits are non-refundable except where required by applicable law. To request a refund, contact us at privacy@guitarmap.ai within 14 days of the charge.

10.8 Taxes

Prices shown do not include applicable taxes. You are responsible for all taxes, duties, and levies imposed by governmental authorities in connection with your purchase, except for taxes on our net income.

11. GuitarMap Intellectual Property

The Service, including its design, code, brand, logo, marketing materials, Shed Content, AI models, tab-layout engine, animations, and all related intellectual property, is owned by GuitarMap or its licensors and protected by copyright, trademark, and other applicable laws. Nothing in these Terms transfers any ownership of our intellectual property to you.

Subject to your compliance with these Terms, GuitarMap grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial practice and learning purposes.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Service, you consent to the data practices described in the Privacy Policy.

13. Service Availability and Accuracy

We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, infrastructure failures, or circumstances beyond our reasonable control (including force majeure events).

GuitarMap's AI transcription is designed to assist your practice — it is not a certified or professional music notation tool. Transcription output may contain errors, omissions, or inaccuracies. You should not rely on Transcriptions as authoritative representations of any musical work.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GUITARMAP EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement
• That the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis
• That any Transcription output will be accurate, complete, or suitable for any particular use
• That defects in the Service will be corrected
• That the Service will detect or prevent the upload of copyrighted material
• That any Content processed through the Service is or will be non-infringing

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GUITARMAP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event will GuitarMap's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of:

• The total amount you paid to GuitarMap in the twelve (12) months immediately preceding the event giving rise to the claim, or
• $100.00 USD if you have not made any payments to GuitarMap.

The limitations of damages set forth above are fundamental elements of the basis of the bargain between GuitarMap and you. You acknowledge and agree that GuitarMap would not provide the Service without these limitations.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless GuitarMap and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your Content, including any claim that your Content infringes the intellectual property or other rights of any third party
• Your use of the Service in violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights
• Any claim, demand, or action arising from Content you submitted via URL, including claims from YouTube, Google, record labels, publishers, artists, or any other rights holders
• Any claims arising from your violation of YouTube's or any other third-party platform's Terms of Service when using our URL processing feature
• Any false certification you make under Section 7.3

We will provide you with prompt written notice of any claim subject to indemnification. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

17. Termination

By you: You may stop using the Service and delete your account at any time through your account settings. Deletion requests will be processed and your data removed within 30 days, except where retention is required by applicable law or legitimate business purposes (e.g., fraud prevention, legal holds, billing records, or copyright certification records as described in our Privacy Policy).

By GuitarMap: We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms, suspected fraud, abuse, repeat infringement, or other conduct we determine is harmful to the Service or other users. Upon termination for cause, you are not entitled to any refund of prepaid fees or unused Credits.

Sections that by their nature should survive termination (including Sections 6, 7, 8, 11, 14, 15, 16, 19, 20, and 21) will survive the termination of these Terms.

18. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' prior notice by email to your registered address and/or by displaying a prominent notice within the Service. The updated Terms will identify the new effective date.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account before the effective date.

19. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH GUITARMAP AND LIMITS HOW YOU MAY SEEK RELIEF.

19.1 Informal Resolution

Before filing any formal dispute, the parties agree to first attempt informal resolution. You must send a written Notice of Dispute to privacy@guitarmap.ai describing the dispute and the relief sought. We will attempt to resolve the dispute within 60 days. If we cannot resolve it informally, either party may then initiate arbitration.

19.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at adr.org), rather than in a court of law. The arbitrator shall have exclusive authority to resolve all issues of arbitrability. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

The arbitration shall be conducted in English. For claims under $10,000, the arbitration may be conducted via written submissions, telephone, or video conference unless either party requests an in-person hearing. The seat of arbitration shall be Travis County, Texas, unless applicable law requires otherwise.

GuitarMap will pay AAA filing, administration, and arbitrator fees for claims that do not exceed $10,000, unless the arbitrator determines the claim is frivolous.

19.3 Small Claims Carve-Out

Notwithstanding Section 19.2, either party may bring an individual action in small claims court for disputes within that court's jurisdiction, as long as the matter remains in small claims court and is pursued only on an individual basis.

19.4 Class Action Waiver

YOU AND GUITARMAP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or collective proceeding. If this class action waiver is found to be unenforceable, then the arbitration agreement in Section 19.2 shall be null and void.

19.5 Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to privacy@guitarmap.aiwith subject line "Arbitration Opt-Out." If you opt out, neither party can require the other to participate in arbitration for any dispute. Opt-out applies prospectively and does not affect any dispute that arose before the opt-out date.

19.6 Injunctive Relief Carve-Out

Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

20. Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred, except as prohibited by applicable law.

21. Governing Law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. For any dispute not subject to arbitration, you and GuitarMap consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Travis County, Texas.

22. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any additional terms you agree to for specific features, constitute the entire agreement between you and GuitarMap regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
• Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. GuitarMap may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets, with notice to you.
• No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
• Force Majeure. GuitarMap shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, labor disputes, governmental action, internet outages, or third-party infrastructure failures.
• Notices. We will provide notices to you via the email address associated with your account. You may provide notices to us at privacy@guitarmap.ai. Notices are effective upon email delivery.
• Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
• Interpretation. Any ambiguity in these Terms shall not be construed against the drafter.
